Minority Interest represents the portion of ownership in a subsidiary or group entity that belongs to shareholders other than the controlling owner or parent. In credit analysis, it appears mainly in consolidated financial statements and affects how profit, net worth, and leverage are interpreted. For example, a borrower group may show consolidated profit, but part of that profit may belong to minority shareholders and may not be fully available to support the borrowing entity. This matters when assessing group strength, promoter contribution, and cash-flow availability. The common caution is not to treat all consolidated net worth or profit as available to the borrower. Underwriters should understand ownership structure, dividend rights, inter-company flows, and legal access to funds.
